LeaseBase Terms of Service
Version 5.1 — Effective Date: September 28, 2026
Last Updated: September 28, 2026
1. Acceptance of Terms
By accessing or using the LeaseBase platform (“Service”), including
the web application, mobile application, and any associated APIs, you
(“User”, “you”) agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, you may not access or use the
Service.
If you are using the Service on behalf of an organization, you
represent and warrant that you have authority to bind that organization
to these Terms.
2. Description of Service
LeaseBase is a cloud-based, multi-tenant property management platform
that provides tools for managing properties, leases, tenants,
maintenance requests, payments, documents, notifications, reporting,
virtual phone numbers, AI-powered tenant communications, tenant
screening, electronic signatures, lease generation, data import/export,
and developer API access. The Service is provided on a
software-as-a-service (SaaS) basis.
3. Account Registration and
Security
3.1 Account Creation
To use the Service, you must register for an account by providing
accurate and complete information, including a valid email address and
organization details.
3.2 Account Security
You are responsible for maintaining the confidentiality of your
account credentials. You agree to notify LeaseBase immediately of any
unauthorized use of your account. LeaseBase is not liable for any loss
arising from unauthorized access to your account.
3.3 Roles and Permissions
The Service supports role-based access control (RBAC). Organization
administrators are responsible for assigning appropriate roles
(ORG_ADMIN, PM_STAFF, OWNER, TENANT) and managing user access within
their organization.
4. Multi-Tenant Data Isolation
4.1 Organization Boundaries
Each organization’s data is logically isolated within the Service.
Users may only access data belonging to their own organization.
LeaseBase enforces per-organization data isolation at the application
and database layers.
4.2 No Cross-Tenant Access
The Service does not permit access to data belonging to other
organizations. All queries are scoped by organization identifier.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any
applicable law or regulation. - Attempt to gain unauthorized access to the Service, other accounts,
or underlying systems. - Interfere with or disrupt the integrity or performance of the
Service. - Reverse engineer, decompile, or disassemble any portion of the
Service. - Use automated means (bots, scrapers) to access the Service except
through published APIs in accordance with rate limits. - Upload or transmit viruses, malware, or any harmful code.
- Exceed published API rate limits or abuse Service resources.
- Use the Service to monitor availability, performance, or
functionality for competitive purposes. - Access the Service if you are a direct competitor, except with
LeaseBase's prior written consent. - Use the Service in any manner that violates the Fair Housing Act,
state fair housing laws, or any anti-discrimination statute (see
Section 10I). - Frame or mirror any portion of the Service on any other server or
internet-based device.
5.1 Geographic Restriction
The Service is intended for use only by persons located in the United
States and Canada. LeaseBase makes no representation that the Service is
accessible, appropriate, or legally compliant for use outside of these
countries. If you access the Service from outside the United States or
Canada, you do so at your own risk and are solely responsible for
compliance with local laws.
6. Data Ownership and Privacy
6.1 Your Data
You retain all rights to the data you submit to the Service
(“Customer Data”). LeaseBase does not claim ownership of Customer
Data.
6.2 License to Operate
You grant LeaseBase a worldwide, non-exclusive, royalty-free,
sublicensable, and transferable license to use, store, process,
reproduce, display, and distribute Customer Data solely to provide,
improve, and promote the Service. This license survives termination of
your account to the extent necessary to fulfill legal obligations or
complete pending transactions. For property listings and photos you
submit, you grant LeaseBase the additional right to distribute such
content to third-party listing services and syndication partners.
You represent and warrant that you own or have the necessary rights to
all Customer Data you submit and that your submission does not infringe
any third party's intellectual property, privacy, or other rights.
6.3 Data Protection
LeaseBase implements industry-standard security measures to protect
Customer Data, including:
- Encryption at rest (AES-256 via AWS KMS) and in transit (TLS
1.2+). - Role-based access control and per-organization data isolation.
- Audit logging for access and changes.
- Regular security assessments.
6.4 Privacy Policy
Your use of the Service is also governed by the LeaseBase Privacy
Policy, which describes how personal data is collected, used, and
shared.
7. Subscription, Billing,
and Free Exploration
The short version: You can explore LeaseBase for
free with no credit card required. When you are ready to unlock lease
management and compliance automation, you start a 7-day free trial by
adding a payment method. Two days before your trial ends, we will
email you a reminder with instructions to pick your plan or cancel. If
you do nothing, your account stays on the Free plan. You can upgrade to
Pro ($15/month) or Pro+ ($29/month) anytime from Settings — no
phone call, no hoops.
7.1 Free Exploration
(a) No Credit Card Required. New users who create a
LeaseBase account can explore the Service without providing a payment
method. During free exploration, you can add your first property, view
compliance information, screen tenants, collect rent, and use core
features at no charge.
(b) Evaluation Limitations. Certain features require
an active subscription and are not available during free exploration,
including but not limited to: saving or finalizing lease agreements,
e-signing documents, adding additional properties beyond the first,
enabling continuous compliance monitoring, and unlimited AI advisor
access. When you attempt a subscription-required action, you will be
prompted to start a free trial.
7.2 Free Trial
(a) Eligibility. Users who provide a valid payment
method are eligible for one (1) free trial per person or organization.
LeaseBase reserves the right to determine trial eligibility and to deny
or revoke a free trial if we reasonably believe an account was created
to abuse the trial offer (for example, by creating multiple
accounts).
(b) Trial Duration and Access. The free trial lasts
seven (7) calendar days from the date you provide a payment method and
activate the trial. During the trial, you receive access to Pro
plan features at no charge. The trial period is not extended for any
days in which you do not use the Service.
(c) Payment Method. To start a free trial, you must
provide a valid credit card, debit card, or bank account (“Payment
Method”). Your Payment Method will not be charged during the trial
period.
(d) No Charge During Trial. You will not be charged
any subscription fees during the 7-day trial period. If you cancel
before the trial ends, your Payment Method will not be charged.
7.3 Pre-Expiration
Notification
(a) Advance Email Notice. LeaseBase will send you an
email notification at least two (2) days before the end of your free
trial. This notification will: remind you of the date your trial ends
and when billing will begin; state the plan and price you will be
charged if you take no action; provide a direct link to select a
different plan or cancel your subscription; and clearly explain how to
cancel.
(b) Binding Commitment. This advance notification is
a binding commitment by LeaseBase. If LeaseBase fails to send the
pre-expiration notification described in Section 7.3(a), you will not be
charged for the first billing cycle following your trial, and your trial
will be extended until proper notice is provided.
(c) Your Responsibility. You are responsible for
ensuring that the email address associated with your account is current
and that emails from LeaseBase (sent from the leasebase.ai domain) are
not filtered as spam. LeaseBase is not responsible for undelivered
notifications caused by incorrect email addresses, full mailboxes, or
spam filters controlled by you or your email provider.
7.4 Automatic
Conversion to Paid Subscription
(a) Conversion. At the end of your free trial, your
subscription will automatically convert to a paid subscription.
This is an automatic renewal. By providing your Payment
Method and starting the free trial, you expressly consent to this
automatic conversion and to recurring charges as described in this
Section. Free exploration (without a Payment Method) does not trigger
any automatic conversion or charges.
(b) Default Plan. If you do not select a plan before
your trial ends, your account will revert to the Free
plan at $0 per month. You may upgrade at any time
from your account Settings.
(c) Plan Options. LeaseBase currently offers three
tiers: Free ($0/month, up to 3 units), Pro ($15/month), and
Pro+ ($29/month). Plan features and pricing are described on the
LeaseBase pricing page at leasebase.ai/pricing.
(d) First Charge. Your Payment Method will be
charged on the day your free trial ends (7 days after you activate the
trial) for the first month of your selected or default plan.
7.5 Recurring Billing and
Renewal
(a) Automatic Renewal. After the initial charge,
your subscription will automatically renew each month on the anniversary
of your first charge date. Your Payment Method will be charged the
then-current price of your plan at each renewal.
(b) Billing Cycle. Subscriptions are billed monthly
in advance. Each billing cycle begins on the day your Payment Method is
charged and continues for the following calendar month.
(c) Failed Payments. If a charge to your Payment
Method fails, LeaseBase may retry the charge and/or suspend your access
to the Service until payment is successfully processed. LeaseBase will
notify you by email of any failed charge.
(d) Taxes. Subscription fees are exclusive of all
taxes, levies, and duties. You are responsible for paying any applicable
taxes associated with your subscription.
7.6 Price Changes
(a) Notice Requirement. LeaseBase will provide at
least thirty (30) days’ advance written notice (by email to the address
on your account) before any increase in subscription pricing takes
effect for your account.
(b) Acceptance. If you do not cancel your
subscription before the price change takes effect, your continued use of
the Service constitutes acceptance of the new pricing.
7.7 Cancellation
(a) How to Cancel. You may cancel your subscription
at any time by using the cancellation option in your account Settings.
Cancellation requires a single click and does not require a phone call,
email to support, or any other action beyond the in-app cancellation
flow.
(b) When Cancellation Takes Effect. Cancellation
takes effect at the end of your current billing period. You will
continue to have access to the Service through the remainder of the
period you have already paid for. No further charges will be applied
after cancellation.
(c) Trial Cancellation. If you cancel during your
free trial, cancellation takes effect immediately and your Payment
Method will not be charged.
(d) No Partial Refunds for Current Period. If you
cancel mid-billing-cycle, you will not receive a prorated refund for the
remaining days in that billing period, except as required by applicable
law.
7.8 Refund Policy
(a) Trial-to-Paid Conversion. If your trial converts
to a paid subscription and you did not intend to continue, you may
request a refund of the first month’s charge within seven (7) calendar
days of the charge by contacting support@leasebase.ai. LeaseBase will
process refund requests made within this window.
(b) General Refunds. Except as stated in Section
7.8(a) or as required by applicable law, all subscription fees are
non-refundable.
7.9 Existing User Courtesy
Period
(a) Applicability. Users who created accounts before
August 29, 2026 (“Existing Users”) are subject to this Section 7.9.
(b) Courtesy Extension. Existing Users will receive
a one-year courtesy extension of Pro+ plan access from the effective
date of this update, during which no subscription fees will be
charged.
(c) Payment Method Requirement. Existing Users will
be required to add a valid Payment Method upon their next login. Adding
a Payment Method does not trigger any immediate charge.
(d) Transition to Paid Subscription. At the end of
the courtesy period, Existing Users’ accounts will convert to a paid
subscription following the same process described in Section 7.4,
including advance email notification as described in Section 7.3.
(e) No Vested Right. The courtesy extension is
provided at LeaseBase’s discretion and does not create a vested right to
free service. LeaseBase reserves the right to modify the courtesy period
with at least sixty (60) days’ advance notice.
7.10 Data Retention After
Cancellation
(a) Data Export Period. After cancellation or
account termination, LeaseBase will retain your Customer Data for thirty
(30) calendar days. During this period, you may request an export of
your data by contacting support@leasebase.ai.
(b) Deletion. After the 30-day data export period,
LeaseBase may permanently delete your Customer Data except as required
by applicable law.
(c) Reactivation. If you reactivate your account
within the 30-day data export period, your data will be restored.
7.11 California
Automatic Renewal Disclosures
In compliance with California Business and Professions Code Sections
17600-17606:
(a) This is an automatic renewal offer. Your
subscription will automatically renew each month until you cancel.
(b) You may cancel at any time by visiting Settings
in your LeaseBase account and clicking “Cancel Subscription.” You will
not be charged after cancellation takes effect.
(c) By starting a free trial or purchasing a
subscription, you agree that your subscription will automatically renew
at the then-current price unless you cancel before the renewal date.
(d) For questions about your subscription or to
cancel, email support@leasebase.ai or use the cancellation option in
your account Settings.
8. Service Availability and
Support
8.1 Uptime
LeaseBase targets 99.9% uptime for the Service, excluding scheduled
maintenance. Scheduled maintenance windows will be communicated in
advance.
8.2 Support
Support is provided based on your subscription plan. LeaseBase will
make commercially reasonable efforts to respond to support requests in a
timely manner.
8.3 Modifications
LeaseBase reserves the right to modify, suspend, or discontinue any
part of the Service at any time. Material changes will be communicated
with at least 30 days’ notice.
9. Intellectual Property
9.1 Service Ownership
The Service, including its architecture, source code, design,
documentation, and trademarks, is the exclusive property of LeaseBase
and its licensors. Nothing in these Terms grants you any rights to
LeaseBase’s intellectual property except the limited right to use the
Service.
9.2 Feedback
If you provide feedback or suggestions about the Service, LeaseBase
may use such feedback without restriction or obligation to you.
10. Third-Party Services
The Service integrates with third-party services including:
- Stripe — payment processing and owner payout
management - Soft Pull Solutions / Checkr — tenant screening
(credit, criminal, eviction, identity verification) - DocuSeal — electronic signature processing
- Twilio — SMS messaging, virtual phone numbers, and
voice call processing - OpenAI / Anthropic — AI-powered chat, lease
generation, and automated communications - Amazon Web Services — cloud infrastructure,
storage, and email delivery - Vertical Insure, Inc. — embedded renters insurance
quoting, purchasing, and policy management
Your use of third-party services is subject to their respective
terms. LeaseBase is not responsible for the availability, accuracy, or
practices of third-party services.
10A. Virtual
Phone Numbers and AI Communications
10A.1 Virtual Number
Assignment
LeaseBase may assign a virtual phone number to your account for use
in tenant communications. This number is owned by LeaseBase and its
telephony provider, not by you. Upon account termination, your virtual
number will be released and may be reassigned.
10A.2 AI Responder Disclosure
Calls and messages to your virtual number may be answered by an
AI-powered responder. The AI responder will identify itself as an
automated system at the beginning of each interaction.
10A.3 Call Recording and
Consent
Calls handled through the virtual number system may be recorded and
transcribed for communication logging purposes. A disclosure is played
at the beginning of each call informing the caller that the call may be
recorded. By using the virtual number feature, you consent to the
recording of calls made to and from your assigned number.
10A.4 TCPA Compliance
You are responsible for ensuring that any outbound calls or text
messages sent through the LeaseBase platform comply with the Telephone
Consumer Protection Act (TCPA) and applicable state telemarketing laws.
You must obtain appropriate consent from recipients before sending
automated messages.
10A.5 Owner
Responsibility for AI Responses
While LeaseBase provides the AI responder technology, you are
responsible for reviewing AI-generated communications, configuring
response parameters accurately, and ensuring that AI responses do not
contain discriminatory, misleading, or legally non-compliant
content.
10A.6
Limitation of Liability for AI Communications
LeaseBase does not guarantee the accuracy, completeness, or legal
sufficiency of AI-generated responses. The AI responder cannot make
binding legal commitments on your behalf. LeaseBase shall not be liable
for any damages arising from reliance on AI-generated communications by
you, your tenants, or any third party.
10B. Tenant Screening
Services
10B.1 Screening Provider
LeaseBase facilitates tenant screening through third-party consumer
reporting agencies, currently Soft Pull Solutions and Checkr. LeaseBase
is not itself a consumer reporting agency and does not make screening
decisions.
10B.2 FCRA Compliance
Tenant screening is governed by the Fair Credit Reporting Act (FCRA)
and applicable state laws. Property owners who use screening features
agree to:
- Obtain the applicant’s written (electronic) consent before
requesting a consumer report - Certify a permissible purpose for each screening request
- Follow the pre-adverse action and adverse action notice requirements
if denying an application based on screening results - Not use screening reports for any purpose other than evaluating the
specific rental application - Comply with state and local screening restrictions (including
California AB 2493 application ordering requirements where
applicable)
10B.3 Applicant Rights
Applicants whose information is submitted for screening have rights
under the FCRA, including the right to receive a copy of any consumer
report used in an adverse decision and the right to dispute inaccurate
information with the consumer reporting agency. See the LeaseBase FCRA
Disclosure & Authorization for full details.
10B.4 Screening Data Handling
Social Security Numbers and other sensitive applicant data submitted
for screening are transmitted directly to the screening provider and are
not stored by LeaseBase. LeaseBase retains screening consent records,
status, and decision metadata for compliance purposes.
10C. Electronic Signatures
10C.1 E-SIGN Act Consent
By using LeaseBase’s electronic signature features, you consent to
conduct transactions electronically in accordance with the federal
Electronic Signatures in Global and National Commerce Act (E-SIGN Act,
15 U.S.C. § 7001 et seq.) and applicable state Uniform Electronic
Transactions Acts (UETA). See the LeaseBase Electronic Signature Consent
Disclosure for full details.
10C.2 Electronic Signature
Provider
Electronic signatures are processed by DocuSeal, a third-party
e-signature provider. Signed documents and signature metadata (signer
identity, timestamp, IP address) are stored securely by LeaseBase.
10C.3 Legal Effect
Electronic signatures applied through the LeaseBase platform have the
same legal effect as handwritten signatures to the extent permitted by
applicable law. LeaseBase does not guarantee the enforceability of any
electronically signed document.
10C.4 Right to Paper
Documents
You may withdraw your consent to electronic signatures at any time by
contacting support@leasebase.ai. If you withdraw consent, you may
request paper copies of previously signed documents. Withdrawal of
e-signature consent may limit your ability to use certain platform
features.
10D. Data Import and Export
10D.1 Data Import
LeaseBase provides tools to import property, tenant, lease, and
financial data via CSV, XLSX, and PDF files. You represent that you have
the legal right to upload any data imported to the platform and that
imported data does not violate the privacy rights of any third
party.
10D.2 AI-Assisted Mapping
Imported data may be processed by AI systems to map fields and
validate entries. AI mapping is advisory — you are responsible for
reviewing and confirming the accuracy of mapped data before committing
the import.
10D.3 Data Export
You may export your data at any time through the platform’s export
features. Upon account termination, LeaseBase provides a 30-day window
to request data export (see Section 7.10).
10E. Developer API Access
10E.1 API Availability
LeaseBase provides a developer API at developer.leasebase.ai for
programmatic access to platform features. API access is governed by the
LeaseBase API Terms of Use, which supplement these Terms.
10E.2 API Keys
API keys are confidential credentials. You are responsible for
securing your API keys and for all activity conducted through them.
Compromised API keys must be revoked immediately.
10E.3 Rate Limits
API access is subject to rate limits that vary by subscription plan.
Exceeding rate limits may result in temporary throttling or suspension
of API access.
10F. Lease Generation
10F.1 Template-Based
Generation
LeaseBase provides AI-assisted lease document generation using
configurable templates. Generated lease documents are provided as a
convenience and do not constitute legal advice.
10F.2 Legal Review Required
You are solely responsible for ensuring that any lease document
generated through the platform complies with applicable federal, state,
and local laws. LeaseBase strongly recommends that all lease documents
be reviewed by qualified legal counsel before execution.
10F.3 No Attorney-Client
Relationship
Use of LeaseBase’s lease generation features does not create an
attorney-client relationship between you and LeaseBase. LeaseBase is not
a law firm and does not provide legal services.
10G. SMS and Text Messaging
10G.1 Consent to Receive
Messages
By providing your phone number and opting in to SMS communications,
you consent to receive text messages from LeaseBase and property owners
using the LeaseBase platform. Message frequency varies. Message and data
rates may apply.
10G.2 Opt-Out
You may opt out of SMS communications at any time by replying STOP to
any LeaseBase text message, or by updating your notification preferences
in your account Settings.
10G.3 TCPA Compliance
LeaseBase’s SMS features comply with the Telephone Consumer
Protection Act (TCPA). Users who send SMS messages through the platform
must have obtained prior express consent from recipients. LeaseBase
records consent status for all SMS recipients.
10H. Insurance Services
10H.1 Not an Insurance
Provider
LeaseBase is not an insurance company, insurance agent, or licensed
insurance producer. Insurance products made available through the
platform are offered by Vertical Insure, Inc., a licensed insurance
producer, and its carrier partners. LeaseBase does not underwrite, issue,
adjudicate claims for, or assume liability for any insurance product.
Vertical Insure, Inc. does business as Vertical Insurance Services (New
York) and Vertical Software Insurance Services (California).
10H.2 Insurance Data Sharing
When you interact with insurance features on the platform — including
viewing insurance quotes, purchasing a policy, or uploading proof of
existing coverage — LeaseBase may share your name, email address, date of
birth, rental property address, and lease dates with Vertical Insure to
generate quotes and facilitate policy issuance. By proceeding with an
insurance quote or purchase, you consent to this data sharing. Vertical
Insure's use of your information is governed by their own privacy policy
and terms of service.
10H.3 Insurance Requirement
Property owners may require tenants to maintain renters insurance as a
condition of their lease. When a landlord enables this requirement,
tenants will be prompted to purchase a policy through LeaseBase or upload
proof of existing coverage. LeaseBase may send automated reminders when a
tenant's insurance is expiring or has lapsed.
10H.4 Coverage Descriptions
All descriptions of insurance coverage presented on the platform are
summaries only. You must obtain and refer to the full policy documents
issued by the insurance carrier for complete details on coverage limits,
conditions, exclusions, and deductibles.
10H.5 Claims and Billing
All insurance billing, coverage questions, and claims inquiries should
be directed to Vertical Insure or the issuing carrier directly. LeaseBase
does not process insurance claims or handle policy billing.
10H.6 Compensation Disclosure
LeaseBase receives compensation from Vertical Insure in connection
with insurance policies purchased through the platform. This
compensation does not increase the cost of insurance to the
policyholder.
10H.7 No Coverage Guarantee
LeaseBase does not guarantee the availability, adequacy, or
enforceability of any insurance product. Users are solely responsible for
ensuring that their insurance coverage is sufficient to protect their
interests. LeaseBase does not provide insurance advice and is not
responsible for any losses arising from inadequate or lapsed
coverage.
10I. Fair Housing Compliance
IF YOU ARE A PROPERTY OWNER, LANDLORD, OR PROPERTY MANAGER USING THE
SERVICE, YOU ARE EXCLUSIVELY RESPONSIBLE FOR ADHERING TO THE FAIR HOUSING
ACT (42 U.S.C. §§ 3601-3619), ALL STATE AND LOCAL FAIR HOUSING LAWS, AND
ALL ANTI-DISCRIMINATION STATUTES IN CONNECTION WITH YOUR USE OF THE
SERVICE. THIS INCLUDES, WITHOUT LIMITATION, COMPLIANCE WITH PROTECTIONS
BASED ON RACE, COLOR, NATIONAL ORIGIN, RELIGION, SEX, FAMILIAL STATUS,
DISABILITY, AND ANY ADDITIONAL PROTECTED CLASSES UNDER STATE OR LOCAL
LAW.
LEASEBASE DOES NOT PROVIDE GUIDANCE REGARDING FAIR HOUSING COMPLIANCE.
UNDER NO CIRCUMSTANCES SHALL LEASEBASE ASSUME LIABILITY FOR ANY FAIR
HOUSING VIOLATIONS ARISING FROM YOUR USE OF THE SERVICE, INCLUDING
VIOLATIONS IN PROPERTY LISTINGS, TENANT SCREENING DECISIONS, LEASE
TERMS, OR COMMUNICATIONS WITH APPLICANTS OR TENANTS.
You agree to indemnify and hold LeaseBase harmless from any claims,
damages, or penalties arising from your violation of fair housing laws
through the Service.
10J. Rent Collection and Payment
Processing
10J.1 Stripe Services
Agreement
Payment processing services for property owners on LeaseBase are
provided by Stripe and are subject to the
Stripe Connected
Account Agreement, which includes the
Stripe Terms of Service
(collectively, the "Stripe Services Agreement"). By agreeing to these
Terms or continuing to operate as a property owner on LeaseBase, you
agree to be bound by the Stripe Services Agreement, as the same may be
modified by Stripe from time to time. As a condition of LeaseBase
enabling payment processing services through Stripe, you agree to
provide LeaseBase accurate and complete information about you and your
business, and you authorize LeaseBase to share it and transaction
information related to your use of the payment processing services
provided by Stripe.
10J.2 Not a Party to Transactions
LEASEBASE IS NOT A PARTY TO ANY RENTAL PAYMENT TRANSACTION BETWEEN
LANDLORDS AND TENANTS. LEASEBASE DOES NOT TAKE CUSTODY OF, HOLD, OR
MANAGE ANY RENTAL FUNDS. ALL PAYMENTS ARE PROCESSED BY STRIPE, INC., A
THIRD-PARTY PAYMENT PROCESSOR, SUBJECT TO THE STRIPE SERVICES AGREEMENT
DESCRIBED IN SECTION 10J.1.
10J.3 No Payment Guarantee
LEASEBASE IS NOT A COLLECTION AGENCY AND DOES NOT GUARANTEE ANY
PAYMENT BY ANY TENANT OR THIRD PARTY, NOR DOES LEASEBASE ASSUME THE RISK
OF NONPAYMENT. LEASEBASE DOES NOT VERIFY THE ACCURACY OF PAYMENT
AMOUNTS, DUE DATES, OR BALANCES DISPLAYED ON THE PLATFORM.
10J.4 Chargebacks and Disputes
If a payment is subject to a chargeback, reversal, or dispute,
LeaseBase reserves the right to (a) reverse the corresponding
transaction, (b) deduct the disputed amount from future payouts, or
(c) charge any payment method on file. You agree to cooperate with
LeaseBase and Stripe in investigating chargebacks. Excessive chargebacks
may result in suspension of payment features.
10J.5 Tax Reporting
LeaseBase may issue IRS Form 1099 or other tax documents
electronically. By using the payment features, you consent to electronic
delivery of tax documents. You are solely responsible for reporting
rental income and complying with all applicable tax obligations.
LeaseBase does not provide tax advice.
10K. Lease Documents and Legal
Forms
10K.1 Not Legal Advice
LEASEBASE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. LEASE
TEMPLATES, COMPLIANCE INFORMATION, NOTICES, AND OTHER LEGAL FORMS
PROVIDED THROUGH THE SERVICE ARE GENERAL IN NATURE AND ARE NOT TAILORED
TO YOUR SPECIFIC JURISDICTION, PROPERTY, OR CIRCUMSTANCES. THESE
MATERIALS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CREATE
AN ATTORNEY-CLIENT RELATIONSHIP.
10K.2 User Responsibility
You are solely responsible for ensuring that any lease agreement,
notice, disclosure, or other legal document generated, modified, or
distributed through the Service complies with all applicable federal,
state, and local laws. LeaseBase strongly recommends that all legal
documents be reviewed by qualified legal counsel before execution. You
agree not to hold LeaseBase liable for any consequences arising from your
use of documents or templates provided through the Service.
10K.3 Disputes Between
Parties
Disputes between landlords and tenants — including those arising from
lease terms, security deposits, maintenance obligations, evictions, or
rent amounts — are solely between the parties involved. LeaseBase is not
a mediator, arbitrator, or adjudicator of landlord-tenant disputes and
has no obligation to intervene.
10L. Listing Syndication
LeaseBase may distribute property listings you create to third-party
websites and listing services. LeaseBase does not guarantee that your
listings will be posted to, remain on, or be displayed accurately by any
third-party website. You represent and warrant that you are the property
owner or a duly authorized agent for any property listed through the
Service, and that all listing information is accurate and does not
violate any applicable law, including fair housing laws.
10M. Maintenance Services
LeaseBase provides tools for creating, tracking, and managing
maintenance requests. LeaseBase is not responsible for the quality,
timeliness, safety, or outcome of any maintenance or repair work
performed by any vendor, contractor, or service provider, whether or not
such provider was discovered through the Service. You acknowledge that
you may be exposed to services from providers who have not been screened,
licensed, or insured. LeaseBase is not a general contractor, property
maintenance company, or home warranty provider.
10N. Platform Relationship
LeaseBase is a technology platform. LeaseBase is not a real estate
broker, property manager, landlord, tenant, insurance agent, lender,
collection agency, or legal services provider. LeaseBase does not verify
the identity, background, or qualifications of its users. LeaseBase does
not endorse any landlord, tenant, property, or transaction. All
transactions and relationships facilitated through the Service are solely
between the parties involved.
11. Limitation of Liability
11.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES
OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LEASEBASE EXPRESSLY
DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: (A) WARRANTIES
OF MERCHANTABILITY; (B) FITNESS FOR A PARTICULAR PURPOSE; (C)
NON-INFRINGEMENT; (D) TITLE; (E) UNINTERRUPTED, TIMELY, SECURE, OR
ERROR-FREE OPERATION; (F) ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY
CONTENT, DATA, OR INFORMATION PROVIDED THROUGH THE SERVICE; AND (G)
THAT THE SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
LEASEBASE DOES NOT WARRANT THE ACCURACY OF PROPERTY VALUATIONS, RENT
ESTIMATES, COMPLIANCE INFORMATION, AI-GENERATED CONTENT, SCREENING
REPORTS, OR ANY OTHER DATA PROVIDED BY THIRD-PARTY SERVICES INTEGRATED
WITH THE PLATFORM.
TO THE EXTENT THAT LIABILITY FROM IMPLIED WARRANTIES CANNOT BE
EXCLUDED UNDER APPLICABLE LAW, SUCH IMPLIED WARRANTIES ARE LIMITED IN
DURATION TO THIRTY (30) DAYS FROM YOUR INITIAL USE OF THE SERVICE.
11.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEASEBASE,
ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR
ASSIGNS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE,
BUSINESS, SAVINGS, OR GOODWILL; (C) LOSS OF OR DAMAGE TO DATA; (D)
PERSONAL INJURY OR EMOTIONAL DISTRESS; (E) COST OF PROCUREMENT OF
SUBSTITUTE SERVICES; OR (F) ANY OTHER DAMAGES, WHETHER BASED ON
WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR
ANY OTHER LEGAL THEORY, EVEN IF LEASEBASE HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
11.3 Cap on Liability
LEASEBASE’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO
THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE LESSER OF:
(A) THE AMOUNTS PAID BY YOU TO LEASEBASE IN THE TWELVE (12) MONTHS
PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED
DOLLARS ($100.00 USD). THIS LIMITATION APPLIES REGARDLESS OF WHETHER
LEASEBASE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND
REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
11.4 Time Limitation on Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATED
TO THESE TERMS OR YOUR USE OF THE SERVICE MUST BE COMMENCED WITHIN ONE
(1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF
ACTION OR CLAIM IS PERMANENTLY BARRED.
11.5 No Personal Liability
You agree that you will not bring any claim personally against
LeaseBase’s officers, directors, employees, or agents in respect of any
losses you suffer in connection with the Service. The limitations in
this section apply to the fullest extent permitted by law in the
applicable jurisdiction.
11.6 Force Majeure
LeaseBase shall not be liable for any failure or delay in performance
resulting from causes beyond its reasonable control, including but not
limited to: acts of God, natural disasters, pandemics or epidemics, war,
terrorism, riots, government actions or orders, strikes or labor
disputes, utility or internet outages, third-party service provider
failures, cyberattacks, or any other event that could not have been
reasonably foreseen or prevented.
12. Indemnification
You agree to indemnify, defend, and hold harmless LeaseBase, its
parent companies, subsidiaries, affiliates, officers, directors,
employees, agents, successors, and assigns (collectively, the
"LeaseBase Parties") from and against any and all claims, demands,
actions, damages, losses, costs, and expenses (including reasonable
attorneys’ fees and court costs) arising from or related to:
- Your use or misuse of the Service.
- Your violation of these Terms or any applicable law or
regulation. - Your violation of any third party’s rights, including intellectual
property, privacy, or contractual rights. - Any Customer Data you submit to the Service.
- Any property listing, lease document, or communication you create
or distribute through the Service. - Any dispute between you and a tenant, landlord, applicant, vendor,
or other user of the Service. - Your violation of fair housing laws, FCRA requirements, or other
regulatory obligations. - Any claim that your use of the Service caused damage to a third
party.
LeaseBase reserves the right, at your expense, to assume the
exclusive defense and control of any matter subject to indemnification,
in which case you agree to cooperate with LeaseBase’s defense. This
indemnification obligation survives termination of your account and these
Terms.
13. Termination
13.1 By You
You may terminate your account at any time by contacting LeaseBase
support. Termination does not entitle you to a refund of prepaid
fees.
13.2 By LeaseBase
LeaseBase may suspend or terminate your access to the Service if you
breach these Terms, fail to pay fees, or engage in conduct that is
harmful to the Service or other users.
13.3 Fraud Detection and
Account Suspension
LeaseBase uses automated systems to detect potentially fraudulent
activity on the platform. These systems may analyze signals including,
but not limited to:
- Use of a payment method whose name does not match the account
holder. - Multiple user accounts within the same organization accessing the
Service from the same network or device. - Unusually rapid account configuration patterns inconsistent with
genuine use. - Repeated failed payment attempts across multiple payment
methods.
If an account triggers multiple fraud indicators, LeaseBase may,
without prior notice, automatically suspend the account, cancel active
subscriptions, and restrict access pending review. Suspension may
include a downgrade to a restricted plan tier.
Resolution. If you believe your account was
suspended in error, you may contact support@leasebase.ai. LeaseBase will
review the suspension and, if the suspension is determined to be
unwarranted, restore your account and any applicable subscription at no
additional cost.
No Liability. LeaseBase shall not be liable for any
damages arising from a good-faith fraud suspension, including loss of
access during the review period.
13.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately.
LeaseBase will make Customer Data available for export for 30 days
following termination, after which it may be deleted.
14. Governing Law and
Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of California,
United States, without regard to conflict of law principles. If you are
located in Canada, nothing in these Terms excludes or limits any rights
you may have under the Personal Information Protection and Electronic
Documents Act (PIPEDA) or applicable provincial privacy legislation.
14.2 Informal Dispute Resolution
Before filing any formal dispute, you agree to first contact LeaseBase
at legal@leasebase.ai and attempt to resolve the dispute informally for
at least thirty (30) days. Most concerns can be resolved quickly through
informal negotiation.
14.3 Binding Arbitration
IF INFORMAL RESOLUTION IS UNSUCCESSFUL, ANY DISPUTE, CLAIM, OR
CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE
SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN
ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS COMMERCIAL
ARBITRATION RULES. THE ARBITRATION SHALL BE CONDUCTED IN SACRAMENTO,
CALIFORNIA, BEFORE A SINGLE ARBITRATOR. THE ARBITRATOR'S DECISION SHALL
BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF
COMPETENT JURISDICTION.
The following disputes are excluded from arbitration: (a) claims that
may be brought in small claims court; (b) claims seeking injunctive or
equitable relief for intellectual property infringement; and (c) claims
for unpaid fees that LeaseBase elects to pursue in court.
14.4 Class Action Waiver
YOU AND LEASEBASE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER
ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS
MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY
NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, CONSOLIDATED, OR
REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE
UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE
NULL AND VOID.
14.5 Jury Trial Waiver
IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN
ARBITRATION, YOU AND LEASEBASE EACH WAIVE THE RIGHT TO A JURY TRIAL.
14.6 Venue
For any claims not subject to arbitration, you consent to the
exclusive jurisdiction of the state and federal courts located in
Sacramento County, California. You waive any objection to the exercise
of jurisdiction over you by such courts and any objection to venue in
such courts.
14.7 California Civil Code Section 1542
Waiver
To the extent permitted by applicable law, you waive the protections
of California Civil Code Section 1542, which provides: "A general
release does not extend to claims that the creditor or releasing party
does not know or suspect to exist in his or her favor at the time of
executing the release and that, if known by him or her, would have
materially affected his or her settlement with the debtor or released
party." You understand that this waiver means you are giving up claims
you may not yet know about.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy, Payment Terms, Property
Owner Agreement, Tenant User Agreement, FCRA Disclosure &
Authorization, Electronic Signature Consent Disclosure, API Terms of
Use, and Data Processing Addendum (each as applicable to your use of the
Service), constitute the entire agreement between you and LeaseBase
regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the
remaining provisions shall continue in full force and effect.
15.3 Waiver
Failure to enforce any provision of these Terms does not constitute a
waiver of that provision.
15.4 Assignment
You may not assign your rights or obligations under these Terms
without LeaseBase’s prior written consent. LeaseBase may assign these
Terms without restriction.
15.5 Notices
Notices under these Terms will be sent to the email address
associated with your account, or to legal@leasebase.ai for notices to
LeaseBase.

The following sections survive termination of these Terms: Section 6.2
(License to Operate), Section 11 (Limitation of Liability), Section 12
(Indemnification), Section 14 (Governing Law and Dispute Resolution),
and any other provision that by its nature should survive
termination.
15.7 Copyright Complaints (DMCA)
If you believe that content on the Service infringes your copyright,
please send a notice to legal@leasebase.ai with: (a) a description of
the copyrighted work; (b) identification of the infringing material;
(c) your contact information; (d) a statement of good-faith belief that
the use is unauthorized; and (e) a statement under penalty of perjury
that the information is accurate and you are the copyright owner or
authorized to act on their behalf.

Company and its affiliates. For information about Stripe's acquiring
entities and their contact information, see Stripe's
Acquirer

15.9 Amendments
LeaseBase may update these Terms from time to time. Material changes
will be communicated at least 30 days before they take effect. Continued
use of the Service after changes take effect constitutes acceptance of
the updated Terms.
